1. Definitions

In these Terms, the following words have the meanings given:

  • "Service" means the legal advisory services provided by Sayam Group, including but not limited to charterparty dispute assessment, vessel mortgage and registration advisory, and maritime casualty initial inquiry.
  • "We / Us / Our" means Sayam Group, operating from 345 Kata Road, Karon, Mueang, Phuket 83100, Thailand.
  • "You / Client" means the individual or entity requesting or receiving our Services.
  • "Engagement" means a specific instruction confirmed in writing by both parties, setting out the scope and fee for a defined piece of work.
  • "Website" means the website located at sayamgrod.biz.

2. Acceptance of Terms

By using our website or submitting an enquiry, you confirm that you are at least 18 years of age and have the capacity to enter a legally binding agreement. Formal engagement of our Services requires written confirmation of the scope and fee and constitutes a separate agreement governed by Thai law.

3. Service Description

We provide legal advisory services in the area of maritime and shipping law, operating from Phuket, Thailand. Services are available to clients in Thailand and internationally. Each Service involves a defined initial engagement with a stated scope and fee. Subsequent work beyond that scope is agreed separately.

We do not provide general legal advice outside maritime and shipping law matters. We do not act as registered agents for immigration, customs, or port clearance purposes.

4. Engagement Process

An Engagement begins when both parties have confirmed the scope, fee, and timing in writing. An enquiry submitted through the website does not constitute a formal instruction or create a legal advisory relationship. No obligation arises on either party from the submission of an enquiry alone.

We reserve the right to decline to take on any matter at our discretion, including for reasons of professional conduct obligations or conflicts of interest.

5. Client Responsibilities

You agree to:

  • Provide accurate and complete information relevant to the matter being advised on
  • Inform us promptly of any material change in facts or circumstances during an engagement
  • Not provide us with information that is false, misleading, or obtained unlawfully
  • Use our advice for lawful purposes only
  • Pay the agreed fee within the terms stated in the engagement confirmation

6. Intellectual Property

Legal advice and written outputs produced during an engagement are provided for your use in that matter. They may not be reproduced, redistributed, or relied upon by third parties without our written consent. All content on this website remains our property.

7. Payment Terms

Fees are stated in Thai Baht (฿). Payment terms for each engagement are set out in the written engagement confirmation. Where no other terms are stated, payment is due within 14 days of invoice. We reserve the right to suspend work on an engagement where payment is materially overdue.

Fees for initial engagements are non-refundable once the work has been completed and the deliverable provided, unless the work has not been carried out to a reasonable professional standard.

8. Confidentiality

We treat all client matter information as confidential in accordance with our professional obligations under the Thai Bar Association's conduct standards. We will not disclose client matter information to third parties without instruction, except where required by law or professional conduct rules.

9. Disclaimers

Legal advice is provided based on the information available to us at the time of the engagement. We cannot be responsible for outcomes that depend on facts not disclosed to us or that change after advice is given. Our advice reflects our professional assessment of the applicable law and does not constitute a representation of certainty about any particular outcome.

Maritime legal matters frequently involve international dimensions, competing jurisdictions, and developing factual situations. Our advice is given in that context and should not be taken as definitive on matters governed by foreign law without confirmation from counsel in the relevant jurisdiction.

10. Limitation of Liability

To the maximum extent permitted by applicable law, our liability for any claim arising out of or in connection with an engagement is limited to the total fee paid by you for that engagement. We are not liable for indirect, consequential, or incidental losses arising from reliance on our advice.

11. Indemnification

You agree to indemnify and hold us harmless from any claim, loss, or damage arising from your breach of these Terms, your provision of inaccurate information, or your use of our advice for unlawful purposes.

12. Termination

Either party may terminate an engagement by written notice. Where termination occurs before the deliverable is complete, we are entitled to payment for work done up to the point of termination at a rate proportionate to the engagement fee. Where you terminate an engagement without cause, the full engagement fee may be due depending on the stage of work completed.

13. Dispute Resolution

These Terms are governed by Thai law. In the event of a dispute, the parties will first attempt to resolve the matter informally through direct communication. If resolution is not reached within 30 days, the matter will be referred to the jurisdiction of the Thai courts in Phuket Province.

14. General

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force. A failure to exercise a right under these Terms does not constitute a waiver of that right. These Terms, together with any written engagement confirmation, constitute the full agreement between the parties for the relevant matter.

15. Changes to These Terms

We may update these Terms from time to time. The current version will always be available on this page. For active engagements, the Terms in force at the time of engagement confirmation apply.
